1. Agreement

By accessing or using Menlo, you agree to be bound by these Terms of Service ('Terms'). If you do not agree to these Terms, you must not access or use the service. These Terms constitute a legally binding agreement between you ('you', 'your') and Menlo ('we', 'us', 'our').

2. Service description

Menlo is an AI-assisted R&D tax relief documentation tool designed for UK SMEs. The service connects to your source code management platforms (such as GitHub, GitLab, and Bitbucket), analyses your engineering activity, and generates HMRC-compliant technical narratives to support Research and Development tax relief claims. The service includes automated project analysis, narrative generation, cost attribution tools, and export functionality.

3. Not tax advice

Menlo is a documentation tool, not a tax advisory service. Always consult a qualified accountant.

The output generated by Menlo is intended as a starting point for your R&D tax relief claim documentation. It does not constitute tax advice, financial advice, or legal advice. You should always seek professional guidance from a qualified accountant or tax adviser before submitting any claim to HMRC. We do not guarantee that claims prepared using Menlo will be accepted by HMRC.

4. User obligations

When using Menlo, you agree to:

  • Provide accurate information — all data, descriptions, and financial figures you submit must be truthful and accurate to the best of your knowledge.
  • Maintain security of credentials — you are responsible for safeguarding your login credentials and any API tokens used to connect third-party services. You must not share your account with unauthorised individuals.
  • Use the service lawfully — you must not use Menlo to prepare fraudulent claims, misrepresent your R&D activities, or for any other unlawful purpose.
  • Review generated output — you are responsible for reviewing all AI-generated narratives and documentation before submission to HMRC or any other body.

5. Intellectual property

You retain full ownership of:

  • Your data — all source code metadata, project information, and financial data you provide remains your property.
  • Generated output — all narratives, reports, and documentation generated by Menlo using your data belong to you.

The Menlo platform, including its software, design, branding, and underlying technology, remains the intellectual property of Menlo. You are granted a limited, non-exclusive, non-transferable licence to use the service for its intended purpose during your subscription period.

6. Limitation of liability

Menlo provides AI-generated documentation as a starting point for R&D tax relief claims. The tool does not provide legal or tax advice.

To the maximum extent permitted by applicable law:

  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the service.
  • We shall not be liable for any losses arising from HMRC decisions regarding your R&D tax relief claims.
  • Our total liability to you for any claims arising from or related to the service shall not exceed the total fees paid by you in the 12 months preceding the claim.
  • We do not warrant that the service will be uninterrupted, error-free, or that generated output will be accepted by HMRC.

7. Termination

Either party may terminate this agreement:

  • You may terminate your account at any time by contacting us or using the account settings within the platform.
  • We may terminate or suspend your access if you breach these Terms, or if we discontinue the service with reasonable notice.

Upon termination, you may request an export of your data within 30 days. After this period, we will delete your data in accordance with our Privacy Policy.

8. Governing law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms or your use of the service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
